Wholesale Terms & Conditions
Last updated: October 2026
These terms apply to all wholesale purchases from Cacao Adventures ("Supplier," "we," "us"). By applying for or using a wholesale account, the business applying ("Buyer," "you") agrees to these terms.
1. Account approval
Wholesale accounts are for registered businesses only. We review every application and may approve or decline it at our discretion. We may ask for a valid seller's permit or resale certificate, business verification, or other supporting information. Once approved, your account is assigned an account type (Section 2), which sets your pricing and what you're allowed to do with the product. We may change, suspend or close an account at any time.
2. Account types
- Retail Wholesale: finished Cacao Adventures products in our branded packaging, for resale to consumers.
- Food Service: cacao for preparing drinks, food or ceremonies served on your premises or at your events.
- Repack / Private Label: bulk cacao for repackaging and sale under your own brand. Requires a signed Private Label Supply Agreement.
- Bulk: cacao by the 20 kg case, for use under one of the account types above.
3. Permitted use by account type
Each account type comes with its own pricing, and product may only be used as described below.
- Retail Wholesale: product may be resold only in its original, sealed Cacao Adventures packaging. You may not open, repackage, relabel, split or rebrand it.
- Food Service: product may be used only as an ingredient in drinks, food or ceremonies you prepare and serve. You may not resell it as packaged product, in its original packaging or repackaged, and you may not repackage, relabel or rebrand it.
- Repack / Private Label: repackaging and relabeling are allowed only for product bought under a signed Private Label Supply Agreement, and only for the origins listed in that agreement. Product bought through any other account type, through Faire or through any other channel may not be repackaged, even if it is the same origin.
- All accounts: you may not sub-distribute or resell product in bulk to other businesses, or grant private-label rights to anyone else, without our prior written consent.
If product is used outside its permitted use, we may invoice the difference between the price you paid and the price for the correct account type, suspend or close the account, and take any other action available to us.
4. Retail Wholesale terms
4.1 Who qualifies. Retail Wholesale accounts are for businesses that resell to consumers through a physical store, pop-up, market booth or their own online store. You must give us a valid seller's permit or resale certificate before your first order. Purchases must be for business purposes only, not personal or household use.
4.2 Where you can sell. You may sell Cacao Adventures products in your physical locations and on your own website. You may not sell or list our products on third-party marketplaces (including Amazon, Walmart Marketplace, eBay, Etsy, TikTok Shop and Poshmark) without our written approval.
4.3 No drop shipping or export. You may not drop ship our products to your customers or forward them outside the United States without our written approval.
4.4 Original packaging only. Products must be sold as delivered, in their original sealed Cacao Adventures packaging. You may not open, split, repackage, relabel, bundle into your own branded packaging, or change our labels in any way.
4.5 Pricing. [Suggested retail prices are listed on your price sheet. You may not advertise our products online below the suggested retail price without our approval. In-store pricing is up to you.]
4.6 Photos and product content. We give you a limited, non-exclusive license to use our product photos, descriptions and logos to sell our products in your store and on your own website. Using them in paid ads (such as Meta, Google or TikTok) or in any other way requires our written approval. The license ends when your account closes.
4.7 Product knowledge. Please describe our products accurately using the information we provide. Don't make health or medical claims, and don't describe the product as "certified organic" (see Section 11).
4.8 Testers and samples. [When we offer testers or samples, they are for in-store tasting and display only, not for resale. They can't be returned.]
4.9 Your account. Your account and our wholesale pricing are personal to your business. You may not share your login or pricing with other businesses, or buy on another business's behalf.
5. Pricing
Wholesale prices are shown only to approved accounts and are confidential. Pricing follows the price sheet for your account type. Bulk and private-label pricing can change with cacao market prices, origin, harvest season and volume. The price that applies is the one confirmed at checkout or on your invoice.
6. Order minimums & lead times
- Retail Wholesale: $150 opening order, $250 reorders.
- Food Service: $500 per order.
- Repack / Private Label: $500 net per order.
- Bulk: one 20 kg case.
In-stock orders usually ship within 2–5 business days. Custom formats, roasts or percentages require 500 kg per SKU per run and 10–14 weeks from purchase order. Private-label lead times also depend on the origin you choose and the harvest season.
7. Payment
The first 3 orders are paid in advance, by card at checkout or by ACH or wire. After that, Net 30 terms may be offered subject to credit approval. Overdue balances may incur a late fee of 1.5% per day , and orders may be paused until the balance is paid.
8. Handling, shipping & delivery
A $10 handling and packing fee applies to every wholesale order. Orders ship FOB our warehouse in Carlsbad, CA. Freight is charged at cost and paid by Buyer, and risk of loss passes to Buyer once the order is handed to the carrier. Cacao is heat-sensitive: in hot weather we may delay shipping or use extra protective packing, which may add cost. Delivery times are estimates.
9. Quality, shelf life, claims & returns
- Lot information: every bag or case is marked with its lot code and production date.
- Certificate of Analysis: a CoA for lead and cadmium is available on request for each lot. Test results are published on our purity testing page.
- Shelf life: 24 months from the production date when stored cool and dry.
- Damage and shortages: report damaged, missing or incorrect items within 7 days of delivery, with photos. If no claim is made within that window, the order is treated as received complete and in good condition. Approved claims are resolved with a replacement or credit.
- Returns: because cacao is a food product, we don't accept returns of opened product. Unopened, sellable Retail Wholesale products may be returned only with our prior approval; return shipping is paid by Buyer and a 15% restocking fee may apply. Repack and private-label orders are final once production begins.
- Scope: our quality commitments cover product only in its original sealed packaging, as delivered. They don't cover product that has been opened, repackaged, relabeled, stored improperly or mixed with other ingredients.
10. Your responsibility after delivery
Once product is delivered, you are solely responsible for how it is stored, handled, prepared and served (and repackaged, where that's allowed). This includes sanitary conditions, food safety and allergen practices, any labeling and claims you make, and complying with all applicable federal, state and local laws, including FDA and health department requirements. Repack and private-label buyers must keep records linking their finished units to our lot codes, and they pay all costs of any recall or regulatory action caused by their repackaging, labeling, storage or handling.
11. Product & origin claims
Our cacao is single-origin Peruvian cacao. It is fully traceable and naturally grown, but it is not certified organic. You may not describe it as "certified organic," and you may not make health or medical claims about it. You may describe it as "single-origin Peruvian cacao." Using our specific origin names, farm names or sourcing relationships requires our prior written approval, except when reselling our branded products as packaged.
12. Brand use
Food Service buyers may say they serve Cacao Adventures cacao. Retail Wholesale brand use is covered in Section 4.6. No other use of our name, logos or trademarks is allowed without written permission. Private-label buyers may not use the Cacao Adventures name on their own packaging unless we agree in writing.
13. Indemnification
Buyer will defend, indemnify and hold harmless Cacao Adventures and its owners, employees and agents from any claims, losses or expenses, including reasonable attorneys' fees, that arise from Buyer's storage, handling, preparation, serving, repackaging, labeling, marketing or sale of the product, or from Buyer's breach of these terms. This doesn't apply to the extent a claim is caused by a defect in the product as we delivered it.
14. Insurance
Food Service and Repack/Private Label buyers will carry general and product liability insurance of at least $1,000,000 per occurrence. If we ask, they will provide a certificate of insurance and name Cacao Adventures as an additional insured.
15. Limitation of liability
Our total liability for any claim will not exceed the amount you paid for the product the claim is about. We are not liable for indirect, incidental or consequential damages, including lost profits, or for delays beyond our reasonable control, such as harvest conditions, weather, customs or carriers.
16. Private Label Supply Agreements
If you have a signed Private Label Supply Agreement with us and it conflicts with these terms, the agreement controls.
17. Changes & governing law
We may update these terms from time to time. The version posted when you place an order applies. These terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
